Board of Directors
Michael Arbour:

Mr. Arbour is President and Chief Executive Officer of Toplis & Harding Holdings, Inc. and its subsidiaries as well as a member of T&H’s board of directors.  From 2001 to 2006, Mr. Arbour served as Chief Financial Officer of VeriClaim, Inc., and also held several senior operating positions within the company.  Previously, Mr. Arbour was a private equity investor with the Sprout Group and GTCR Golder Rauner where he focused on investments in the business services, technology and healthcare sectors.  During that time, he led or participated in investments in 14 companies and served as a member of the board of directors of six private companies.  Prior to that, Mr. Arbour was an investment banker with Donaldson, Lufkin & Jenrette.  Mr. Arbour received a B.A. from Kenyon College and an M.B.A. from the J.L. Kellogg Graduate School of Management at Northwestern University.


Ian M. Winchester:

Mr. Winchester is currently Managing Partner and Chairman of the Investment Committee of BHC Winton Fund, an investment fund which is focused on providing capital to Syndicates operating in the Lloyds’s of London insurance market.  Mr. Winchester is also a Managing Director of Brooks, Houghton & Co, Inc. a New York-based specialist investment banking and fund management firm.  Previously, Mr. Winchester was the Chairman, Controlling Shareholder and President and CEO of Toplis & Harding Holdings, Inc. and VeriClaim, Inc.  From 1970 to 1985, Mr. Winchester was Managing Director of Winchester Bowring, Ltd., a London-based specialist reinsurance broker that was acquired by Marsh & McLennan, Inc.  Mr. Winchester is a director of Montpelier Re Holdings, a publicly traded provider of P&C insurance and reinsurance based in Bermuda, where he also serves as the Chairman of the Underwriting and Risk Committee and is a member of the Audit Committee.


Christopher Ackerman:

Mr. Ackerman is a Principal of Flexpoint Ford. Prior to joining Flexpoint Ford, Mr. Ackerman spent 10 years in the Investment Banking Division of Morgan Stanley, most recently as an Executive Director focusing on mergers, acquisitions and corporate finance related transactions in a variety of industries.  Mr. Ackerman received a B.A. in mathematical economics, cum laude with honors, from Colgate University and an MBA, with honors, from Northwestern University's Kellogg Graduate School of Management..


Stephen Haworth:

Mr. Haworth is a Principal and Chief Financial Officer of Flexpoint Ford. Prior to joining Flexpoint Ford, Mr. Haworth was a partner at the accounting firm of Ernst and Young LLP. Mr. Haworth began his career in 1985 in the Chicago office of Ernst and Young LLP. From 1992 to 1994 Mr. Haworth was a member of Ernst and Young's National Tax Department in Washington D.C.  Mr. Haworth holds a B.S. and M.S. degree in Accounting from Oklahoma State University. He is a member of the American Institute of Certified Public Accountants and the Illinois State CPA Society.


Michael Tyree:

Mr. Tyree is a Vice President of Flexpoint Ford and previously spent two years as an Associate of the fund. Prior to joining Flexpoint, Mr. Tyree was an analyst with Lazard Freres and Co. specializing in mergers and acquisitions in life sciences.  Mr. Tyree received an A.B., Phi Beta Kappa, from the University of Chicago and an MBA from Northwestern University's Kellogg School of Management.


Charles E. Cramer:

Prior to joining Vericlaim, Charles Cramer was the Founder and Chairman of Cramer, Johnson and Wiggins. He has over 45 years of independent adjusting experience. Mr. Cramer gained his expertise and diversity with a major independent adjusting firm, where he handled virtually every kind of apprasial, investigation or adjustment for insurance companies around the world. He advanced rapidly through the management ranks. In 1981, he started Cramer and Johnson and directed the firm's expansion from two adjusters in 1981 to a nationally recognized independent adjusting and third party administration firm of over 170 professionals. Mr. Cramer is an associate member of NAPSLO, AAMGA, LEA and PLRB. A native of Ohio, Mr. Cramer holds a Bachelor of Science in Business Administration from Youngstown State University, and attends practical and accelerated business and insurance courses.


Robert E. Dowdell:

Mr. Dowdell was the Chairman and Chief Executive Officer of Marshall & Swift/Boeckh (MS/B), a leading supplier of local building cost information, residential and commercial property valuation technology and services for the P&C insurance sector in the US and Canada. Mr. Dowdell led a management/employee purchase of the business in 2000, and the sale of MS/B to a public company in 2004. Mr. Dowdell was also a founder, board member, Chairman and interim CEO of Career Education Corporation from 1994 to 2007. Previously, he was President of National Education Centers. He also served as Corporate Controller and Treasurer of National Education Corporation and Corporate Controller of Chamberlain Manufactoring Corp, and worked at Price Waterhouse in Chicago as an Audit Manager. Mr. Dowdell is currently Chairman of TravelCLICK, and serves on the board of directors of Roof Express and 21st Services, and as a strategic advisor for Genstar Capital Partners and Silver Oak Services Partners. Mr. Dowdell received a B.B.A and an M.B.A from the University of Notre Dame, and is on the Advisory Board of Notre Dame's Business School.
